What are Best Practices in Corporate Governance?
Best corporate practices are strengthened by laying down customary rules of conduct, called nowadays best practices. These rules are usually general so as to avoid unnecessary restraints and to enable their flexible application in various situations and in companies of different profiles. However, some detailed rules may be used when drawing up statutes of companies and by-laws of their authorities.
Thus, best practices constitute a set of detailed rules of conduct addressed both to authorities of companies and members of such authorities, as well as to majority and minority shareholders.
This set of best practices, established for the needs of the Polish capital market, presents the core of corporate governance standards in a public joint-stock company. This is not a complete list. Built based on the Polish experience, it should be constantly developed in line with the changing market needs.
Corporate Governance in Bank BPH
Bank BPH complies with the rules of corporate governance that are provided for in the Code of Best Practice for WSE Listed Companies that was adopted in 2007, its further version from May 2010 and its updates made in the following years (the full contents of the document are available at http://www.corp-gov.gpw.pl, which is the official website of the Warsaw Stock Exchange (WSE) that focuses in issues of corporate governance).
Continued commitment of the Bank towards fairness, transparency and respect for rights of all shareholders, regardless of the size of their shareholdings, has been reflected in compliance with all rules of corporate governance. Internal regulations applicable at the Bank, especially those that apply to the rules that govern the General Meeting of Shareholders, compliance with the shareholders’ rights and ensure effective co-operation between the Management Board and the Supervisory Board take account of corporate governance and are updated on a continued base to reflect changes that occur on the capital market.
